His financing practice has included representation of banks, commercial finance companies, factors, insurance companies, mezzanine lenders and venture capital firms on a local, regional and national basis.

David also has extensive corporate expertise in mergers and acquisitions, private placements and general corporate work. His corporate experience has involved representations of companies in the banking, biotech, broadcasting, chemical, consumer products, food, furniture, industrial gas, insurance, pharmaceutical, real estate and telecommunications industries.

David was the principal draftsman of the Tennessee Business Combination Act, the Tennessee Control Share Acquisition Act and the Tennessee Anti-Greenmail Act. He has served as Chairman of the Corporate Legislative Committee for both the Tennessee Bar Association and the American Corporate Counsel Association. David has also been a past lecturer for the Tennessee Bar Association on corporate takeovers and captive insurance.
