About Luc Lissoir — Attorney of the U.S. business experience
Luc Lissoir is an attorney based in Montréal, QUEBEC. The practice focuses on Business, General, and M&A.
Luc Lissoir is a partner in the firm's Montréal office, practising in securities and corporate and commercial law with particular emphasis on public and private securities offerings, project financing, private equity, mergers and acquisitions and general corporate counselling. After having served as managing partner for Lafleur Brown from 1995 to 2000 and for Gowlings from 2000 to 2007 and following a change in governance, Luc was an active member of the six person Board of Trustees of the Firm from 2008 to 2016. He is now tasked with overseeing the Firm Global Spain Desk.
He has, among other activities, acted for corporate and governmental issuers and investment dealer firms in respect to public and private offerings of equity, debt and synthetic securities in Canada, the United States and other foreign markets; assisted in privatizations of Crown corporations and project financings; advised various interested parties in takeover bids or plans of arrangement and assisted clients in acquisitions or sales of businesses. Luc also acts regularly on behalf of institutional investors and sponsors in connection with the formation of various types of private equity funds in Canada and internationally and their downstream investments.
Luc Lissoir has more recently been involved in the P3 infrastructure sector across Canada as he led, amongst other projects, the legal team advising the Acciona and ACS/Iridium Consortium, selected for the public-private partnership completion project of Highway 30 in Québec (which project was named as the North American PPP Deal of the Year 2008 by Euromoney’sProject Finance magazine). He has since led teams representing consortiums and their Equity Sponsors, Lenders (Banks/Bonds) and Major Project Parties on over 20 P3 infrastructure projects in British Columbia, Alberta, Saskatchewan, Ontario, Québec and New Brunswick in Canada. He is also actively involved in the procurement of Energy, Water and Road, transportation (Rail, LRT, Airports and Ports) and Logistics projects in the Middle East and Sub Saharian Africa with colleagues from the Paris, Dubais and UK offices of the Firm.
He has also led various secondary market transactions providing for the monetization or disposal by holders of their interests in various P3 assets in Canada and Europe. He has also acted for interested acquirers in connection with such transactions.
He enjoys mentoring younger Associates at the beginning of their practice as he has always done over his years at the Firm.
